Prior to joining the Washington D.C. office, Sean gained broad-based transactional experience in New York as an associate at a large, international law firm and a midsized firm.

  • Represented Munich American Reassurance Company and Munich Re New Ventures in establishing Parachute Digital Solutions, an end-to-end insurance platform for digital marketing and sale of insurance products throughout the US.
  • Represented Arch Capital on its acquisition of Ventus Risk Management, Inc., a commercial property managing general underwriter, pursuant to a stock sale.
  • Represented National Western Life Insurance Company on its acquisition of Ozark National Life Insurance Company and Ozark’s affiliated broker-dealer, NI.S. Financial Services, Inc. for approximately $205 million.
  • Represented MassMutual in its long-term care reinsurance transaction with RGA
  • Represented Advisor Group in its acquisition of Ladenburg Thalmann Financial Services Inc., a transaction with a total enterprise value of approximately $1.3 billion.
  • Advised Ohio National Life Insurance Company and its board of directors on a comprehensive strategic review and resulting publicly-announced repositioning plan involving the company’s US life and annuity businesses and international operations.
  • Represented an international property casualty insurer in its strategic equity investment in and related documentation for a peer-to-peer car sharing marketplace in the United States and elsewhere.
  • Represented an international property casualty insurer in its strategic equity investment and related documentation in a telematics insurer
  • Represented Allianz Life in its reinsurance with Talcott Resolution, Hannover, Munich Re and RGA of new or inforce annuity business.
  • Represented Brighthouse Financial and National Life in their various reinsurance transactions involving inforce business or newly issued annuity business.
  • Represented RGA in its acquisition of an in force annuity block from a mutual company, with approximately $1.2 billion in statutory reserves transfer.
  • Represented Allianz SE on a strategic joint venture in Bermuda with Enstar and Hillhouse Capital Management, involving a total capital commitment of $550 million, with follow-on restructuring and changes in ownerships.
  • Represented Voya Financial in its sale through novation of an existing Ballantyne Re block to Swiss Re.
  • Represented Aflac in a product development and reinsurance transaction with Reinsurance Group of America (RGA).
  • Represented Aflac in a product development and reinsurance transaction with DRMS New York (SunLife).
  • Represented Allstate Insurance Company in the acquisition of PlumChoice, Inc.
  • Represented Willis Towers Watson in the acquisition of its usage-based insurance (UBI) assets by Octo Telematics, the leading global provider of telematics for the auto insurance industry.
