Eversheds Sutherland Sweden has advised the sellers of Reservdelaronline Sverige ABNovember 21, 2025 Eversheds Sutherland Sweden has advised the sellers of Reservdelaronline Sverige AB in connection with Clas Ohlson AB (publ) entering into an agreement to acquire a majority stake in Reservdelaronline Sverige AB. Reservdelaronline has operated under its current business model since 2017. The company currently offers around 8,000 spare parts for sale on its e-commerce site and has access to more than 100,000 additional items in its order assortment. The product range primarily consists of spare parts for garden machinery and lawnmowers. Net sales are forecasted at SEK 59 million for 2025, with an estimated EBITDA of SEK 7.5 million. The deal is structured with an initial acquisition of 70% of the shares and put and call options for the acquisition of the remaining 30% after three years. The purchase price for Reservdelaronline corresponds to an enterprise value of approximately 45 MSEK on a cash and debt free basis (EV), representing a multiple of 6x EV/EBITDA. The remaining 30% of the shares will be acquired after three years at 8x EBITDA based on 2028 performance, under agreed call and put options.
