- on a range of complex structural, transactional and multi-jurisdictional tax issues relating to the acquisition, intra-group structuring, development and funding for an investment management firm. This relates to a £230m cross-border acquisition and development financing of a residential regeneration real estate site by an investment management fund and a range of other real estate and debt funds and their specialist advisers over a 14-month period
- a German Bank and Singaporean Bank on their cross-border funding of a strategic £280m acquisition by Korean asset management and Korean investment companies of the mixed used development in London. We worked with the sponsor group and their advisers in addressing the key international tax issues and managing risk
- an investment group on the establishment of a high-profile funding partnership and forward funding structure with an asset management firm to provide two-to-five-year senior investment loans to the UK Commercial Real Estate market; working alongside UK HMRC and the respective counterparties to manage key cross-border technical tax issues and risks on the £1bn of future funding
- a funding lender on the establishment of a debt fund and its subsequent joint venture with a private real estate fund to create the UK market’s first debt funding platform focusing solely on the European student housing financing market. The advice covered a range of UK and cross-border tax issues in respect of the fund structure, capital/funding arrangements and the joint venture
