GAC announces new thresholds for mandatory merger filings in the Kingdom of Saudi Arabia

On 1 November 2023, the Saudi Arabian General Authority for Competition (“GAC”) announced significant changes to its thresholds for when a transaction will require mandatory merger control approval. The key changes introduced by GAC include the addition of a “local turnover test” and a new minimum turnover requirement for the acquired entity. Whilst these changes will be welcomed as a step in the right direction, many question whether it is likely to have much practical impact as the local nexus test can still be triggered by only one party to the transaction.
