Eversheds Sutherland has advised the Management of Aryza Holdings Limited (Aryza) on its sale by Pollen Street Capital to Atlas Bidco 1 Limited - a company owned by Macquarie Capital Principal Finance, Pollen Street Capital and Aryza senior management. Aryza is a global provider of case management and process automation software solutions for regulated industries serving the insolvency, credit and debt recovery sectors. The cross-practice Eversheds Sutherland team was led by corporate Partner Paul Pugh and comprised: Partners Richard Kyle (corporate), Paula Gaddum (insurance) and Colin Askew (tax), Principal Associates Russell Naglis (corporate), Christopher Ives (insurance) and Helen Mackey (tax), Senior Associate Hannah Rashid (corporate), and Associates Lowri Roberts (corporate), Rachel Lee (corporate), and Jannine Nicholas (tax). Pollen Street first invested in Aryza (originally known as Vision Blue) in 2017. Since then, Aryza has grown rapidly in size, breadth of offering and geographical footprint, now operating from six countries across three continents. More recently, Aryza has developed a platform for M&A completing four deals in the last year. Pollen Street and senior management have elected to reinvest a portion of their proceeds, providing the opportunity to benefit further from the high growth Aryza has experienced to date along with the future potential of this high-quality software platform, owing to attractive market dynamics and future M&A opportunity. Macquarie Capital Principal Finance will bring substantial institutional expertise and operational experience, as well as an extensive global network and flexible capital to support continued growth of Aryza. Paul Pugh, Eversheds Sutherland, said: “We’re thrilled to have supported on this deal and more importantly, to have secured the very best outcome for our client. It was a wonderful team effort and a great transaction to be part of.” Colin Brown, CEO of Aryza, said: “Paul and the Eversheds Sutherland team met all of our expectations, actively maintaining a level of client service that was technically excellent and commercially astute. We’re delighted that the Eversheds Sutherland team could be alongside us on this exciting next step of our corporate journey, providing the legal advice and support to help ensure this successful result. We look forward to continuing our work with them.” The transaction is subject to regulatory approvals, and the terms have not been disclosed. Key contacts
