• Represented a leading international cross-border bank, as the facility agent and lead arranger, in a $120 million syndicated term loan facility for a leading global manufacturer of advanced semiconductor materials to develop its new facilities.
• Advised an administrative agent and joint lead arrangers in negotiating amendments to a $500 million syndicated term loan facility for a fully integrated life science company.
• Represented an international agent bank and syndicate of lenders as US local counsel in a $150 million senior secured financing for development of new solar panel module manufacturing facility.
• Represented a Korean bank, as the syndication and administrative agent, to provide a mortgage syndication loan of more than $220 million to an S&P 500 public REIT for several real estate assets in New York.
• Represented a leading international cross-border bank, as the administrative agent, as its local counsel in the UK, Netherlands, and Hong Kong, to provide a $35 million multicurrency ABL revolving credit facilities for a leading provider of comprehensive manufacturing and support services for medical devices, industrial products, and protective solutions.

• Advised a Tier 1 automotive parts manufacturer with its new $400 million investment to develop a stamped metal body parts manufacturing facility to supply and support a global EV manufacturer in connection with critical phases of the project development, including construction management and negotiating and structuring a $400 million taxable industrial revenue bond for tax abatement, a $50 million secured senior revolving credit facility from a regional bank and a $70 million term loan credit facility from an export-import bank.
• Advised a leading battery recycling company and battery material re-supplier with its new $38 million and $40 million investments, respectively, to build two battery recycling plant facilities in the US in connection with critical phases of the project development, including negotiating and structuring a land acquisition, a $38 million taxable industrial revenue bond for tax abatement, and a $22 million intercompany loan facility.
• Represented a private equity fund investing in US cannabis operators in obtaining a $20 million term loan credit facility to recapitalize and fund its ongoing investment activities.
• Represented a public company in preparing its proxy statement for a special shareholders meeting to approve its acquisition by another public company for $62 million and a hedge fund in its proxy fight to elect three directors to the board of a public cellular communications.
• Represented a Korean bank, as the syndication and administrative agent, to provide a mortgage syndication loan of $43 million and a mezzanine loan of $13 million for the acquisition of a boutique hotel in Los Angeles.
• Represented a leading plastics product manufacturing company in restructuring its 10 bilateral credit facilities with various international banks to negotiate extensions, consolidation, intercreditor and subordination arrangements, and payoff of existing facilities with a new $78.5 million syndicated credit facilities from a major global bank, consisting of a $60 million revolving credit facility and $18.5 million term loan facility.
• Represented a leading producer of aluminum die casted parts for automotive manufacturers in restructuring its existing bilateral credit facilities to negotiate extensions, intercreditor and subordination arrangements, and payoff of existing facilities with a new $100 million syndicated ABL credit facilities from a major global bank, consisting of $10 million revolving credit facility, $25 million initial term loan facility, $65 million delayed draw term loan facility, and $5 million swingline commitments.
• Advised a Tier 1 automotive parts manufacturer on its $317.4 million investment in a stamped metal body parts facility to supply a global EV manufacturer, covering project development, construction management, and structuring a $250 million taxable industrial revenue bond for tax abatement, an $80 million VRDB construction financing, a $79.2 million EB-5 term loan, and a $60 million syndicated equipment financing.
• Represented an EB-5 regional center sponsor in a $50 million EB-5 private offering to foreign investors to fund development of a new $250 million mixed-use development project and negotiated preferred equity financing documents and an EB-5 regional center sponsor in a $200 million EB-5 private offering to foreign investors to fund construction of a large-scale infrastructure project.
• Advised automotive parts manufacturing companies and private equity funds in connection with evaluating various financing solutions under the Main Street Lending Program and represented a community bank in connection with multi-tranche credit facilities, including a $13 million Main Street Priority Loan facility secured by all equipment and titled vehicles of a borrower and its subsidiaries.
• Represented a public company in a $63.25 million follow-on public offering and a public REIT in a $9.1 million special distribution that paid 20 percent in cash and 80 percent in stock.
