Eversheds Sutherland advise Little Thinking Minds (“LTM”) on its acquisition by SeesawApril 21, 2025 Eversheds Sutherland and Sanad Law Group in association with Eversheds Sutherland (International) LLP advised Little Thinking Minds (“LTM”), an edtech company based in the MENA region, on its acquisition by U.S.-based Seesaw Learning Inc. (“Seesaw”). Little Thinking Minds (LTM) is a pioneering regional Arabic edtech company with operations in the MENA region and beyond. Founded in 2004 by Rama Kayyali and Lamia Tabbaa. LTM has developed award-winning digital literacy solutions—including I Read Arabic and I Start Arabic—which serve over 450,000 students across more than 800 schools in the MENA region. Backed by leading investors such as Algebra Ventures, Mindshift Capital, and the ISSF, LTM has been recognized globally for its impact on Arabic literacy, receiving accolades from the Queen Rania Foundation, MIT Solve, and the GESS Education Awards. The acquisition marks a significant cross-border transaction in the education technology sector and will enable Seesaw to expand its offerings to Arabic-speaking learners worldwide. The transaction spans multiple jurisdictions and governing laws including Jordan, the UAE, Saudi Arabia, Egypt, and the U.S., and marks the first time Jordan as a jurisdiction has been covered under a Warranty & Indemnity (W&I) insurance policy, setting a precedent in the local market. The Eversheds Sutherland team was led by Jordanian head of practice group partner Lana Habash with support from consultant Noura Saket, associate Hanan Albashir and trainee Yara Almasri.
