Avustimme Meriaura Group Oyj:tä osakevaihtosopimuksessa

Toimimme Meriaura Group Oyj:n neuvonantajana ehdollisessa osakevaihtosopimuksessa, jonka myötä yhtiö hankkii Summa Defence Oy:n koko osakekannan. Summa Defence Oy on puolustus- ja turvallisuusalan yhtiöitä yhteen kokoava toimija. Yritysjärjestely on tarkoitus toteuttaa osakevaihdolla järjestämällä suunnattu osakeanti Summa Defencen osakkeenomistajille (”Osakevaihto”). Summa Defencen osakekannan arvoksi on osakevaihtosopimuksessa määritelty noin 185 miljoonaa euroa ja Meriaura Groupin osakekannan arvoksi noin 40,4 miljoonaa euroa.

Yritysjärjestelyn seurauksena Suomeen muodostuu turvallisuuteen ja huoltovarmuuteen keskittyvä yritysryhmä, jossa kaksoiskäyttöteknologialla on keskeinen rooli. Samalla Merilogistiikka-liiketoiminta (Meriaura Oy ja sen kokonaan omistama tytäryhtiö VG-EcoFuel Oy) siirtyy Meriaura Invest Oy:lle. Järjestelyn myötä uuden listatun yhtiön nimeksi tulee Summa Defence Oyj.
