Investment Management and Fund Formation

Our experience of advising on investment management and fund formation law includes advising:

• a major public pension fund in joint ventures with two public REITs to create investment funds to acquire up to $2 billion in retail and healthcare properties, as well as a $600 million separate account focused on subordinate debt and preferred equity. Our work included  organization and structuring, negotiating the management agreement, and originating multiple preferred equity investments in multifamily and student housing projects
• a leading insurance company with their mortgage loan origination work through an $800 million fund targeting real estate debt, backed by existing core US real estate assets in the industrial, retail and multifamily sectors
• a large real estate investment company with a presence in both the US and Germany in the formation of a flagship core open-end real estate fund investing in core assets in major US cities, including the acquisition of $1.4 billion in seed assets
• a sponsor with the structuring of a $400 million real estate investment fund and negotiating definitive agreements with investors, including a US publicly traded company, Dutch and Canadian pension investors, domestic pension investors, and an affiliate of an EU-based public company
• an investment management fund adviser in the formation of joint ventures and partnerships for development and acquisition across various asset classes in real estate, such as the $228 million financing on a premier 22-building office and retail complex located on more than 300 acres, involving a securitized mortgage and two mezzanine components
