Our recent experience in leveraged finance law includes advising:
- a corporate borrower in the financial services sector in relation to its first leveraged debt financing, consisting of term loan (plus uncommitted incremental facilities) including ESG-based margin terms, provided by a European direct lending fund consisting of £75m terms loans
- a long-standing client in relation to its group reorganization, refinancing and investment by a direct lending fund and a club of financial institutions. The financing package, consisting of term, revolving and Holdco PIK facilities, represents one of the largest European private credit transactions to-date at £1bn+ aggregate funding
- a sponsor and newco in relation to a £100m+ first out last out financing by a direct lending fund and bank to finance an MBO in the technology sector
- a German bank lender in connection with the provision of super senior revolving credit facilities alongside unitranche financing provided by a direct lending fund
- the sponsor and the company in connection with a direct lending financing of the sponsor’s minority investment and the provision of £125m capex/acquisition facilities
