Technology Transactions and Sourcing

Our global lawyers are experienced in all aspects of technology transactions and sourcing. Representative experience includes advising:

• a major UK utilities company in relation to its strategic IT outsourcing projects. This includes advising on a complex multi-supplier framework agreement for digital transformation and consultancy services, and negotiating the same with each supplier
• numerous financial services institutions in connection with a range of strategic technology material outsourcings utilizing cloud delivery models, providing support to these institutions in relation to compliance requirements relating to outsourcing and third party risk management regulatory obligations (chiefly the PRA, FCA and EBA) and advising on operational resiliency and risk mitigation
• a provider of UK and European legacy insurance and reinsurance solutions on the outsourcing of its core information technology. We advised on all contractual documentation, including the main services agreement, the commercial arrangement and other issues such as IT security and regulatory matters
• a global technology and telecommunications client on a major, first-generation, global business process outsourcing arrangement. We worked closely with local offices and network firms in over 35 countries and across multiple practice areas to deliver a successful outcome on one of the most ambitious and complex outsourcing arrangements of the past five years
